ARTWORK PARTNERSHIP AGREEMENT

This Artwork Partnership Agreement (the "Agreement") is made effective November 1, 2025 (the "Effective Date") between:

ARTIST: Mara Ellison, Brooklyn, NY 11201, USA · mara@example.com · 718-555-0142 (the "Artist"); and
PARTNER: Sam Ortiz, Willow & Stone Cabin, 112 Rossman Ave, Hudson, NY 12534, USA · sam@example.com, acting as Host (home or short-term rental) (the "Partner").

The Artist and the Partner are each a "Party" and together the "Parties".

1. WORKS COVERED
This Agreement covers the original works and editions by the Artist listed in Schedule A (the "Works"). The Parties may add Works to Schedule A at any time. A Work is covered once both Parties have approved its addition in writing, including through AirGalleries. These terms apply to every Work added, unless Schedule A sets a different share for that Work.

2. PARTNERSHIP STRUCTURE
Commission. The Partner earns a commission on each sale of a Work attributed to the Partner, including sales made through the Partner's AirGalleries QR code or link, as set out in Section 3.

3. REVENUE SHARING
For each sale of a Work attributed to the Partner, AirGalleries first deducts its 10% transaction fee. Of the remaining gross sale price, the Partner receives 25% and the Artist receives 75%, unless Schedule A sets a different share for that Work.

4. CAP
The Partner's share is open ended. No cap applies for the term of this Agreement.

5. TERM
This Agreement begins on the Effective Date and runs until April 30, 2026.

6. EXCLUSIVITY AND TERRITORY
This partnership is non-exclusive. The Artist may sell or license the Works through other channels. Territory: Worldwide.

7. PAYMENT AND REPORTING
Payments owed between the Parties are made within 14 days of each sale.
Each payment comes with a written sales report listing every sale, its date, the sale price, and how the proceeds were split.
Each Party may inspect the other's records of sales of the Works, on reasonable notice, once per calendar year.

8. TERMINATION
Either Party may terminate this Agreement by giving the other 30 days' written notice. Either Party may also terminate immediately if the other materially breaches this Agreement and does not cure the breach within 15 days of written notice. When this Agreement ends, any Works in the Partner's possession are returned to the Artist within 30 days, and amounts already owed remain payable.

9. INTELLECTUAL PROPERTY AND ATTRIBUTION
The Artist keeps all copyright and other intellectual property rights in the Works. Nothing in this Agreement transfers ownership of those rights. The Partner may use images of the Works only to promote and sell them under this Agreement.
The Partner must credit the Artist by name wherever the Works are displayed, marketed, or sold.

10. SPECIFIC TERMS
  a. Display: The Partner displays the Work at Willow & Stone Cabin with the AirGalleries QR card beside it.

11. GENERAL
Governing law: This Agreement is governed by the laws of NY, USA.
Notices: Notices under this Agreement may be sent to the email addresses above.
Independent parties: The Parties are independent contractors. This Agreement does not create an employment relationship, joint venture, or legal partnership entity.
Entire agreement: This Agreement, with Schedule A, is the entire agreement between the Parties about the Works. It can be changed only by a written amendment signed by both Parties.
Severability: If any provision is found unenforceable, the rest of the Agreement stays in effect.

12. ELECTRONIC SIGNATURES
The Parties agree to sign this Agreement electronically. Under the U.S. ESIGN Act, the Uniform Electronic Transactions Act, and comparable laws elsewhere, an electronic signature has the same legal effect as a handwritten one. This Agreement takes effect once both Parties have signed.

     Price: original $1,600.00.
